1. Scope
The following General Terms and Conditions (T&Cs) apply to all orders placed via clyra.ch. The online shop is operated by CLYRA GmbH, Zeppelinstrasse 74, 8057 Zurich (hereinafter «CLYRA», «we», «us», «our»).
The offering on this website is directed exclusively at consumers resident in Switzerland and Liechtenstein (hereinafter «customer», «you»). A consumer is a natural person whose order can be attributed neither to their commercial nor to their self-employed professional activity.
By visiting or using our services, by interacting with our services or by submitting an order, you agree to these General Terms and Conditions and to our privacy policy. If you do not agree to these General Terms and Conditions or to the privacy policy, you should not use or access our services. Conflicting or deviating terms of the customer are not accepted.
2. Access
By agreeing to these General Terms and Conditions, you confirm that you are at least 18 years old and have legal capacity. In order to use the services (accessing our online shop, browsing the range and purchasing the products offered), you will be asked for certain information, such as your email address as well as billing, payment and shipping details. You confirm that all information you provide in our shop is accurate, current and complete, and that you hold the necessary rights to provide it.
3. Information on this website
All information on clyra.ch, such as product descriptions, images, illustrations, quantity details and other information, serves illustrative purposes and does not constitute a warranty of characteristics unless expressly stated otherwise. Deviations in colour and presentation compared to the actual product are possible depending on your screen and device.
We endeavour to provide all information accurately, completely and up to date. Changes to the range and to prices, as well as errors and misprints, are reserved.
Information on availability and delivery times is non-binding. All offers on this website are subject to change and do not constitute a binding offer.
All product descriptions may be changed at any time and without prior notice at our sole discretion. We reserve the right to discontinue any product at any time and to limit, on a case-by-case basis, the quantities of the products we offer to any person, geographic region or jurisdiction.
4. Prices
The sales prices stated are final prices in Swiss francs (CHF) and include statutory value added tax as well as any other statutory levies.
Any shipping costs are charged in addition and are shown separately during the ordering process before the order is completed.
Prices, discounts and promotions may be changed without prior notice. The price charged for a product or service is the price valid at the time the order is placed and is stated in the email containing your order confirmation.
The prices stated in our online shop may differ from prices in shops operated by third parties. From time to time we may offer promotions in connection with our services which may affect pricing and which are subject to separate terms and conditions. In the event of a conflict between the terms of a promotion and these terms, the terms of the promotion shall prevail.
5. Minimum age for products containing alcohol
By placing your order, you confirm that you have reached the age of 18 and are therefore legally entitled to purchase the products containing alcohol that are offered. Official identification may be requested upon delivery. If we become aware that a customer has breached this provision, the purchase agreement shall become invalid with immediate effect.
6. Conclusion of contract
The products and prices on this website constitute non-binding offers.
By submitting your order, you make a legally binding offer to conclude a contract. You will then receive an automatic acknowledgement of receipt by email. This merely confirms receipt of the order and does not yet constitute acceptance.
The contract is concluded as soon as we confirm the dispatch of the ordered products to you by email. Only the products listed in this dispatch confirmation form part of the contract.
The amount charged at the time of ordering is held as an advance payment until the order is accepted. If we do not accept the order, or accept it only in part, we will refund the corresponding amount.
We reserve the right to reject orders in whole or in part without stating reasons, in particular in the case of unavailability, obvious pricing or presentation errors, orders in quantities beyond normal household use, as well as orders that are evidently intended for resale, distribution or export.
If ordered goods cannot be delivered, or cannot be delivered in full, we will inform you by email at the address provided with the order.
7. Payment and retention of title
The payment methods indicated during the ordering process are available. We reserve the right to exclude individual payment methods without stating reasons or to insist on advance payment.
You undertake to provide current, complete and accurate purchase and payment details for all purchases in our shop. You will update your details promptly, in particular your email address as well as your card number and expiry date, so that we can complete your transactions and contact you if necessary.
You confirm that (i) the card details you provide are true, accurate and complete, (ii) you are authorised to use this card for the purchase, (iii) the resulting amounts will be settled by your card issuer, and (iv) you will pay the resulting amounts at the stated prices, including shipping and handling fees as well as any taxes.
Orders are only dispatched once payment has been received in full, unless delivery against invoice has been expressly agreed.
The products delivered remain our property until payment has been made in full.
8. Delivery
Delivery is made by post or courier service to the delivery address you provide. We deliver exclusively within Switzerland and Liechtenstein.
We endeavour to keep delivery times short. However, stated delivery times are non-binding and do not constitute a warranted characteristic. We accept no liability for delays caused by the shipping service provider or by circumstances outside our control.
Partial deliveries are permitted. In such cases, shipping costs are charged only once.
If the delivery cannot be delivered or you refuse to accept it, we may terminate the contract after prior notice and after setting a reasonable additional period, and charge for the expenses incurred.
9. No right of return or withdrawal
Under Swiss law, there is no statutory right of withdrawal for orders placed through an online shop. Orders placed are binding on you.
CLYRA does not grant any voluntary right of return or exchange. As our products are foodstuffs, returns are furthermore excluded for reasons of hygiene and food safety, even if the packaging is unopened.
We are unable to accept or refund any returns sent to us without prior arrangement. They will be returned or disposed of at your cost and risk.
Cancellation before dispatch: as long as the dispatch process for your order has not yet begun, you can cancel it at hello@clyra.ch. In that case you will receive a full refund to your original payment method. Once the dispatch process has begun, cancellation is no longer possible.
10. Duty to inspect, notice of defects and warranty
You are obliged to inspect the delivery immediately upon receipt. If the delivery is damaged, incomplete or incorrect, the defect must be reported in writing within 7 calendar days of receipt by email to hello@clyra.ch, where possible stating the order number and including photos.
In the case of defects reported in good time, we will, at our discretion, provide a replacement delivery or refund the purchase price for the goods concerned. Any further warranty claims are excluded to the extent permitted by law.
The following in particular do not constitute defects: impairments resulting from improper storage or handling after receipt of the goods, expiry of the best-before date after delivery, as well as minor deviations in colour, taste or packaging that are due to the production process.
Our products must be stored in a cool, dry place and protected from direct sunlight. The best-before date is printed on every can.
11. Subscriptions
With a subscription, deliveries are made recurrently at the interval you select, and the price applicable at the time is charged to the payment method on file. You hereby authorise us to make these recurring charges until cancellation.
Subscriptions have no minimum term and can be cancelled at any time. What matters is the point in time before the next delivery is triggered: a cancellation takes effect for the next delivery that has not yet been triggered. Deliveries that have already been triggered or dispatched can no longer be cancelled or refunded.
We will notify you of price changes to ongoing subscriptions by email at least 30 days before they take effect. In that case, you may cancel the subscription up until the change takes effect.
We reserve the right to pause or terminate a subscription in the event of non-payment, unavailability or discontinuation of the product.
12. Refunds
Refunds are issued to the original payment method within 10 working days of our confirmation. Depending on your bank or credit card provider, it may take a few additional days for the amount to appear. If more than 15 working days have passed since our confirmation, please contact us at hello@clyra.ch.
13. Liability
CLYRA excludes any liability, irrespective of its legal basis, as well as claims for damages against CLYRA and against any auxiliary persons and vicarious agents, to the extent permitted by law. In particular, CLYRA is not liable for indirect damages and consequential damages resulting from defects, loss of profit or other personal injury, property damage and pure financial loss suffered by the customer.
Mandatory statutory liability remains reserved, in particular for gross negligence and unlawful intent.
We are not liable for damages attributable to improper storage, handling or use of the products after receipt.
The consumption of products containing alcohol is at your own responsibility. We accept no liability for damages arising from excessive consumption or from consumption in combination with medication, pre-existing conditions or other substances.
14. Intellectual property
All content on this website, in particular texts, images, graphics, videos, logos, trade marks and their design and arrangement, is the property of CLYRA or its licensors and is protected by Swiss and international intellectual property law.
You may view the content for your personal, non-commercial use. Without our prior written consent, you may not reproduce, distribute, modify, publicly display, publicly perform, republish, download, store, transmit or create derivative works from this content.
The «CLYRA» brand as well as our logos, product names and design elements may not be used without our written consent.
15. Use of the website
The website may only be used for lawful purposes. The following are prohibited in particular: distributing malware, impairing the functionality of the website, automated extraction of content (scraping, crawling), unauthorised collection of other users' data, sending unsolicited advertising, and impersonating a false identity.
In the event of breaches, we may block access to the website at any time and without prior notice.
16. Relationship with Shopify
CLYRA is operated on Shopify, which enables us to provide the services to you. However, all sales and purchases you make in our shop are made directly with CLYRA. By using the services, you acknowledge that Shopify is not responsible for any aspects of sales between you and CLYRA, including any injuries, damages or losses arising from the purchase of products and services. You hereby expressly release Shopify and its affiliates from all claims, damages and liabilities arising out of or in connection with your purchases and transactions with CLYRA.
17. Third-party tools and links
As part of the services, you may be given access to customer tools provided by third parties. We neither monitor these tools nor have any control or influence over them. You acknowledge and agree that we provide access to such tools «as is» and «as available», without any warranties, representations or conditions and without any endorsement. We accept no liability whatsoever for damages arising from or in connection with the use of optional third-party tools.
Any use of the optional tools offered via the website is entirely at your own risk and discretion. You should therefore familiarise yourself with and accept the terms of use of the relevant third-party tools. We may also offer new features via the services in the future (including the release of new tools and resources). Such new features shall likewise be deemed part of the services and shall be subject to these General Terms and Conditions.
The services may contain materials and hyperlinks to websites provided or operated by third parties (including embedded third-party features). We are not responsible for reviewing or evaluating the content or accuracy of third-party materials or websites that you access. If you leave the services to access such third-party materials or websites, you do so at your own risk. We are not liable for damages in connection with your access to external websites or with your purchase or use of products, services, resources or content on external websites. Please review the third party's policies and procedures carefully and make sure you understand them before entering into a transaction. Complaints, claims, concerns or questions regarding third-party products and services should be directed to the respective third party.
18. Data protection
We process the personal data collected in the course of concluding the contract in order to perform the purchase agreement, as well as for marketing purposes to the extent permitted by law. The data required to perform the contract may be passed on to commissioned service partners (in particular logistics and payment service providers).
The online shop is operated on the platform of Shopify Inc. In this context, data is also transmitted to Shopify and its sub-processors, in some cases abroad.
Details on the processing of personal data can be found in our privacy policy at clyra.ch/en/legal/privacy.
19. Severability
Should individual provisions of these T&Cs be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid one that comes closest to its economic purpose.
20. Amendments to the T&Cs
We reserve the right to amend these T&Cs at any time. The version applicable at the time of the order is decisive; the T&Cs cannot be amended unilaterally for an order that has already been placed.
The current version is available on this page.
21. Applicable law and place of jurisdiction
Swiss substantive law applies exclusively, to the exclusion of its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
The place of jurisdiction is Zurich, Switzerland, or the consumer's place of residence.
